Terms of Service

1. Parties and acceptance

These Terms of Service (“Terms”) form an agreement between you (“you” or “Licensee”) and OrientCDS Private Limited (“we” or “Licensor”), an Indian private limited company. By installing, accessing, or using the Orient AXLR8 & ACTV8 Eclipse plug-in (the “Software”) or this website, you agree to these Terms. If you do not agree, do not install or use the Software.

2. License grant

2.1 Evaluation license

Upon first activation, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for evaluation purposes for a period of ninety (90) calendar days from first activation (the “Evaluation Period”). The Evaluation Period is granted free of charge.

2.2 Commercial license

Continued use of the Software after the Evaluation Period requires a paid commercial license. Pricing, license duration, named-user vs. concurrent-user terms, and any volume agreements are set out in a separate quotation provided by us upon request.

2.3 What the license permits

You may, during the term of your license:

Install and use the Software inside Eclipse / ABAP Development Tools (ADT) for the purpose of designing, generating, analyzing, refactoring, and deploying ABAP code on SAP systems you are authorized to use.
Make a reasonable number of backup copies of the Software bundle.
Configure the Software with AI provider API keys you own and SAP credentials you are authorized to use.

2.4 What the license prohibits

You may not:

Redistribute, sublicense, sell, rent, lease, or lend the Software or your license key to any third party.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the limited extent expressly permitted by applicable mandatory law.
Remove, obscure, or alter any copyright, trademark, license, or other proprietary notice in the Software.
Use the Software in violation of applicable law, the rights of any third party, or the terms of service of any AI provider or SAP system you connect to.
Use the Software to develop a product that competes with the Software.

3. AI-generated content

The Software acts as a client to AI providers (OpenAI, Anthropic, Google, or others you configure). When you invoke an AI feature, your prompt and the relevant ABAP context are sent directly from your machine to the AI provider you selected; we are not in that data path.

The Software does not warrant the correctness, completeness, fitness for purpose, security, or non-infringement of code or text produced by an AI provider. You are responsible for reviewing every AI-generated artifact before deploying it to any SAP system. The AI Audit Trail recorded locally by the Software is provided to help you do that review; it is not a substitute for it.

4. Your responsibilities

You are solely responsible for the AI provider account(s) and API key(s) you use, and for any charges those providers bill you.
You are solely responsible for the SAP systems you connect to and for any code you deploy to them. You must have authorization to develop on, transport into, and modify those systems.
You must keep your license key confidential and notify us promptly if it is compromised.
You must not use the Software to process data you are not lawfully entitled to process.

5. Intellectual property

The Software, including all source code, compiled code, branding, documentation, and trademarks (“Orient AXLR8”, “ACTV8”, “OrientCDS”, and associated logos) is and remains the exclusive property of OrientCDS Private Limited and its licensors. No rights are granted to you except those expressly stated in these Terms and the EULA.

Code you write yourself, code you generate via the Software using your own AI provider credentials, and code you produce from your own SAP systems, remain your property (or your employer’s, as applicable). We claim no rights to your work product.

6. Third-party services

The Software interoperates with third-party services that are not provided by us, including but not limited to: Eclipse Foundation IDE, ABAP Development Tools, OpenAI, Anthropic, Google (Gemini, Forms, Analytics), and SAP NetWeaver / ABAP Platform. Use of those services is governed by their own terms and privacy policies; we are not responsible for their availability, behaviour, pricing, or data handling.

7. Updates and discontinuation

We may release updates from time to time, including bug fixes, new features, security patches, and changes to the AI provider integrations. We may discontinue support for older Software versions upon reasonable notice. We are not obligated to maintain compatibility with every Eclipse, ADT, or AI-provider version indefinitely.

8. Fees and refunds

The Evaluation Period is free of charge. Commercial license fees are payable in advance for the agreed term. Unless required by mandatory law in your jurisdiction, fees are non-refundable once the license has been activated.

9. Warranty disclaimer

The Software is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Software will be uninterrupted, error-free, secure, or that it will produce code that is correct, optimal, secure, or fit for any particular purpose.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall OrientCDS Private Limited, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business interruption, or goodwill, arising out of or in connection with these Terms or your use of the Software, even if advised of the possibility of such damages. Our aggregate liability for any direct damages shall not exceed the fees you paid us for the Software in the twelve (12) months preceding the event giving rise to the claim, or one hundred United States dollars (USD 100), whichever is greater.

Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for death or personal injury caused by gross negligence, or fraud).

11. Indemnification

You will indemnify, defend, and hold harmless OrientCDS Private Limited from any third-party claim, loss, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms or the EULA; (b) your use of the Software in violation of any law or third-party right; (c) ABAP code you generate, deploy, or transport using the Software.

12. Termination

These Terms apply for as long as you use the Software. Your license terminates automatically if you breach these Terms or the EULA. Upon termination, you must stop using the Software, uninstall it, and destroy any copies in your possession. Sections 5 (Intellectual Property), 9 (Warranty Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Export control

The Software may be subject to Indian export-control regulations. You will not export, re-export, or use the Software in any jurisdiction or by any party prohibited by applicable export-control laws.

14. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. The courts of Kollam, Kerala shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Software, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.

15. Miscellaneous

Entire agreement — these Terms together with the bundled EULA and any commercial license document constitute the entire agreement between you and us regarding the Software, superseding any prior agreements.
No waiver — failure to enforce any provision is not a waiver.
Severability — if any provision is unenforceable, the remainder remains in effect.
Assignment — you may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or sale of all or substantially all of our assets.
